You are solely responsible for all content, data, and information that you upload, post, or otherwise transmit through the Services ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Caseworth a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, and display your User Content solely for the purpose of providing and improving the Services to you.

Access to the Services may require you to pay subscription fees. You agree to pay all applicable fees as described on the Services and in accordance with the payment terms presented to you. All fees are non-refundable unless otherwise expressly stated.
We may terminate your access to the Services, without cause or notice, which may result in the forfeiture and destruction of all information associated with your account. All provisions of these Terms that, by their nature, should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Caseworth does not warrant that the Services will be uninterrupted, error-free, or completely secure.
IN NO EVENT WILL CASEWORTH, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
You agree to defend, indemnify, and hold harmless Caseworth, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.
These Terms and your use of the Services will be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Denver, Colorado, using the English language in accordance with the Arbitration Rules and Procedures of the American Arbitration Association ("AAA") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of AAA arbitrators in accordance with the AAA rules.
These Terms constitute the sole and entire agreement between you and Caseworth regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
No waiver by Caseworth of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
You may not assign or transfer these Terms, by operation of law or otherwise, without Caseworth's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Caseworth may freely assign or transfer these Terms without restriction.
